Artvetting.com Inc. (“Artvetting,” “we,” “us,” or “our”) is an online platform that provides artists an opportunity to have their work reviewed by third parties and for users (“you,” “your,” or “user,” which shall include artists and visitors to the Site) to participate in discussions about featured works of art (“Works of Art” or “Work of Art”) and reviews (collectively, the “Services”) through our website, accessible at http://www.artvetting.com (the “Site”).
By using the Site, you agree to be bound by the terms and conditions of these Terms of Use (“Terms”). These Terms govern your access to and use of the Site and its Services, and constitute a binding legal agreement between you and Artvetting. If you do not agree to these Terms, you may not access or use the Site. We may modify the Terms from time to time and encourage you to check our Site frequently to see the current Terms in effect and any changes that may have been made to them. By using the Site following any modifications to the Terms, you agree to be bound by such modifications.
Eligibility
The Site and its Services are intended solely for persons who are 18 or older. Any access to or use of the site by anyone under 18 is expressly prohibited. By accessing or using the
Site or Services, you represent and warrant that you are 18 or older. We reserve the right to deny access to the Site or refuse Services to anyone for any reason at any time.
Registration
In order to use many of the Services provided by this Site, you will first need to register to create an account (“Account”). When you register, you must provide accurate, current, and complete information, and update such information should any of your registration information change. You are responsible for safeguarding your password and must notify Artvetting immediately of any breach of security or unauthorized use of your Account.
Potentially Offensive Material
WARNING: The content of the Site is not intended for minors. Such content is generally uncensored and may include nudity or other graphic or literary content that some people may consider offensive. If you allow your child to use your computer, it is your responsibility to determine whether any of the services, content and subject matter displayed on the Site is inappropriate for such child or children, and to control the child’s use of the computer accordingly. If you yourself find any content on the Site offensive, you should stop using the Site.
Privacy
Please read our Privacy Policy for information on how we may use your information.
User Submitted Content
You are responsible for any User Content you post to the Site. By “User Content” we mean any Works of Art that you submit to the Site or content you post to the Site, which may include reviews, comments, image uploading, captions, participating in forums and other such features that allow you to add content to the Site. We are not responsible for the personally identifiable or other information you choose to submit as User Content and we reserve the right to remove any User Content generated by any user at our sole discretion. You understand that once you post User Content, your content becomes public. We are not responsible for keeping any User Content confidential so if you do not want anyone to read or see that content, do not submit or post it to the Site. If we allow you to upload User Content, you may not:
• provide User Content that you do not have the right to submit, unless you have the owner’s permission; this includes material covered by someone else’s copyright, patent, trade secret, privacy, publicity, or any other proprietary right;
• provide User Content that you wish to keep confidential, secret or proprietary;
• forge headers or manipulate other identifiers in order to disguise the origin of any User Content you provide;
• provide any User Content that contains lies, falsehoods or misrepresentations that could damage us or anyone else;
• provide User Content that is illegal, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourage conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate;
• impersonate anyone else or lie about your affiliation with another person or entity in your User Content;
• use meta tags or any other “hidden text” utilizing any of our or our suppliers’ product names or trademarks in your User Content; or
• provide User Content which disparage us or our vendors, partners, contractors, galleries, artists, institutions, distributors, representatives and affiliates.
Except as otherwise specifically provided, if you post content or submit material to the Site, you grant us a nonexclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, reproduce, modify, adapt, crop, resize, publish, translate, create derivative works from, distribute, license and sub-license, sell, transfer, transmit, display and otherwise exploit such content throughout the world in any media. You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; that use of the content you supply does not violate these Terms or any law or regulation; and the content will not cause injury to any person or entity. We have the right but not the obligation to monitor and edit or remove any activity or content. User Content comes from a variety of sources. We do not endorse, or support any views, opinions, recommendations, or advice that may be in User Content, nor do we vouch for its accuracy or its reliability, usefulness, safety or intellectual property rights of any User Content. We take no responsibility and assume no liability for any User Content posted by you or any third party.
Original Works of Art. Ownership of Rights.
By submitting your original Work of Art for reviews, you represent and warrant that: (1) your Work of Art is your original work, and that you own all rights to the Work of Art (you may not submit works that were created by another artist); (2) your Work of Art does not infringe or violate a third party’s patent, copyright, trademark, trade secret, moral rights, right of publicity or right of privacy, or other intellectual property or proprietary rights; (3) You own all intellectual property in your Work of Art and any images or content related to the Work of Art that you submit to Artvetting; and (4) any “moral rights” have been waived.
Publicity
You agree to the use of your likeness, name, voice, and video for the Site and for public relations, advertising and marketing purposes of Artvetting. You understand that Artvetting will determine in its sole discretion whether or not to display any or all of your work that you have submitted.
User Conduct
The Site, including all of its contents, such as text, images, and the HTML used to generate the pages (“Materials”), are our property or that of our suppliers, partners, or licensors and are protected by patent, trademark and/or copyright under United States and/or foreign laws. Except as otherwise provided herein, you may not use, download, upload, copy, print, display, perform, reproduce, publish, modify, delete, add to, license, post, transmit, or distribute any Materials from this Site in whole or in part, for any public or commercial purpose without our specific written permission. The use of the Materials or any portion thereof on any other website, or in any publication, database, catalog or compilation, or in a networked computer environment for any purpose other than personal browsing of the website without our express prior written permission is strictly prohibited. We grant you a personal, non-exclusive, non-transferable license to access the Site and to use the information and services contained here. With respect to any copy you make of the Materials within the scope of the limited license granted herein, you must retain therein, unmodified and unobscured, any and all copyright and other proprietary notices contained in the original Materials. Some of the Materials may contain digital “watermarks” to indicate their source and ownership. You agree not to attempt to remove, deactivate, reverse engineer, modify, tamper with, or obscure any such watermarks.
You understand and agree that you are solely responsible for compliance with any and all laws, rules, and regulations that may apply to your use of the Site and Services. You agree not to:
• use the Site or Services for any commercial or other purposes that are not expressly permitted by these Terms;
• infringe the rights of any person or entity, including without limitation, their intellectual property, privacy, publicity or contractual rights;
• post, upload, publish, submit or transmit any content that: (i) infringes, misappropriates or violates a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any other person; or (vii) promotes illegal or harmful activities or substances;
• use the Site to impersonate another person;
• copy, store or otherwise access any information contained on the Site or Services for purposes not expressly permitted by these Terms;
• use, display, mirror or frame the Site, or any individual element within the Site, Services, or Application, Artvetting’s name, any Artvetting trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without Artvetting’s express written consent;
• collect or store any personally identifiable information from the Site or Services from other users of the Site or Services without their express permission;
• transmit or transfer (by any means) information or software derived from the site to foreign countries or certain foreign nations in violation of US export control laws; or
• attempt to interfere in any way with the Site’s or Artvetting’s networks or network security, or attempting to use the Site’s service to gain unauthorized access to any other computer system.
Artvetting will have the right to investigate and prosecute violations of any of the above to the fullest extent of the law. Artvetting may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms. You acknowledge that Artvetting has no obligation to monitor your access to or use of the Site or Services or to remove any User Content, but has the right to do so for the purpose of operating the Site and Services, to ensure your compliance with these Terms, or to comply with applicable law or the order or requirement of a court, administrative agency or other governmental body. Artvetting reserves the right, at any time and without prior notice, to remove or disable access to any user content, reviews for Works of Art, Artvetting Content or any other text, graphics, images, software, music, audio, video, information or other content or material that Artvetting, at its sole discretion, considers to be objectionable, in violation of these Terms or otherwise harmful to the Site or Services.
International Use
We control and operate the Site from our offices in the United States of America, and all information is processed within the United States. We do not represent that materials on the Site are appropriate or available for use in other locations. Persons who choose to access the Site from other locations do so on their own initiative, and are responsible for compliance with local laws, if and to the extent local laws are applicable.
You agree to comply with all applicable laws, rules and regulations in connection with your use of the Site. Without limiting the generality of the foregoing, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside.
Indemnification
You agree fully to defend, indemnify and hold harmless Artvetting, its officers, directors, agents, affiliates, licensors, and employees, from and against all liabilities, claims, expenses, damages and losses, including legal and accounting fees, arising from any breach of the Terms by you or any other liabilities arising out of your use of this Site or Services, or the use by any other persons accessing this Site using your internet account.
You also agree to indemnify Artvetting for any expenses, damages and losses, including legal and accounting fees, Artvetting incurs in an inter-party claim between you and Artvetting, arising from any breach of the Terms by you, including any breach of this indemnification clause, or any other liabilities arising out of your use of this Site or Services. This defense and indemnification obligation will survive these Terms and your use of the Site and Services.
Disclaimer of Warranties. Limitation of Liability.
THE SITE, INCLUDING, WITHOUT LIMITATION, ALL CONTENT, FUNCTION, MATERIALS AND SERVICES IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY FOR INFORMATION, DATA, DATA PROCESSING SERVICES OR UNINTERRUPTED ACCESS AND ANY WARRANTIES CONCERNING THE AVAILABILITY, ACCURACY, COMPLETENESS, USEFULNESS, OR CONTENT OF INFORMATION. COMPANY DOES NOT WARRANT THAT THE SITE OR THE FUNCTION, CONTENT OR SERVICES MADE AVAILABLE THEREBY WILL BE TIMELY, SECURE, UNINTERRUPTED OR ERROR FREE, OR THAT DEFECTS WILL BE CORRECTED. ARTVETTING MAKES NO WARRANTY THAT THE SITE WILL MEET USERS’ EXPECTATIONS OR REQUIREMENTS. NO ADVICE, RESULTS OR INFORMATION, OR MATERIALS WHETHER ORAL OR WRITTEN, OBTAINED BY YOU THROUGH THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.
ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SITE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.
ARTVETTING DOES NOT ENDORSE, WARRANT OR GUARANTEE ANY PRODUCTS OR SERVICES OFFERED OR PROVIDED BY OR ON BEHALF OF THIRD PARTIES ON OR THROUGH THE SITE. ARTVETTING IS NOT A PARTY TO, AND DOES NOT MONITOR, ANY TRANSACTION BETWEEN USERS AND THIRD PARTIES WITHOUT THE DIRECT INVOLVEMENT OF COMPANY.
You acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising out of your access to and use of the Site, Services, Artvetting content and User Content remains with you. Neither Artvetting nor any other party involved in creating, producing, or delivering the Site, Services, Artvetting content or User Content will be liable for any incidental, special, exemplary or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with these Terms or from the use of or inability to use the Site, Services, Artvetting content or User Content, or from any communications, interactions or meetings with other users of the Site or Services or other persons with whom you communicate or interact as a result of your use of the Site or Services, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not Artvetting has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose.
Artvetting does not endorse, support, represent or guarantee the truthfulness, accuracy or reliability of any communication posted by other users or reviewers or endorse any opinions expressed by users or reviewers. You acknowledge that any reliance on material posted by other users or reviewers will be at your own risk.
IF YOU ARE DISSATISFIED WITH THE SITE, YOUR SOLE REMEDY IS TO DISCONTINUE USING THE SITE.
Entire Agreement
These Terms constitute the exclusive understanding and agreement between Artvetting and you regarding the Site and Services and these Terms supersede and replace any and all prior oral or written understandings or agreements between Artvetting and you regarding the Site and Services. You also may be subject to additional terms and conditions that are applicable to certain parts of the Site.
No Waiver. Severability.
Our failure to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect.
Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without Artvetting’s prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. Artvetting may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.
Notices
Any notices or other communications permitted or required hereunder, including those regarding modifications to these Terms, will be in writing and given by Artvetting (i) via email (in each case to the address that you provide) or (ii) by posting to the Site. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted.
Controlling Law and Jurisdiction
These Terms and any action related thereto will be governed by the laws of New York without regard to its conflict of laws provisions. The exclusive jurisdiction and venue of any action with respect to the subject matter of these Terms will be the state and federal courts located in New York, New York and you, through use of the Site and Services, waive any objection to jurisdiction and venue in such courts. In addition, you expressly waive any right to a jury trial in any legal proceeding against Artvetting and its affiliates or their respective officers, directors, employees, agents, or successors under or related to these Terms. Any claim or cause of action you have with respect to use of the Site must be commenced within one (1) year after the claim or cause of action arises or be forever barred.
Consent to Processing
By providing any personal information to the Site, all users, including without limitation users in the European Union, fully understand and unambiguously consent to the collection and processing of such information in the United States.

(“Artvetting,” “we,” “us,” or “our”) provides this Privacy Policy to inform you of our policies and procedures regarding the collection, use, and disclosure of personal information we receive from users of www.artvetting.com (the “Site”). This Privacy Policy applies only to information that you provide to us through the Site. We may update this Privacy Policy from time to time. We will notify you of any material changes by posting the new Privacy Policy on this Site. We encourage you to consult this page periodically for any updates. Unless otherwise defined in this Privacy Policy, terms used in this Privacy Policy have the same meanings as in our Terms of Use.
As used in this policy, the terms “using” and “processing” information include using cookies, among other identifiers, on a computer, subjecting the information to statistical or other analysis and using or handling information in any way, including, but not limited to collecting, storing, evaluating, modifying, deleting, using, combining, disclosing and transferring information within our organization or among our affiliates within the United States or internationally.
Personal Information
In the course of using the Site and Services, you may provide us with personally identifiable information. This refers to information about you that can be used to contact or identify you (“Personal Information”). Personal Information includes, but is not limited to, your name, phone number, credit card or other billing information, email address and home postal address. We use your Personal Information primarily to provide and improve the Site and Services.
We may also request certain information, such as your zip code, personal preferences and demographic information, which is typically considered “Non-Identifying Information” because it cannot, by itself, be used to contact or identify you.
We use your Personal Information (in some cases, in conjunction with your Non-Identifying Information) primarily to provide and improve the Services, to complete your transactions and administer your inquiries.
Certain Non-Identifying Information would be considered a part of your Personal Information if it were combined with other identifiers (for example, combining your zip code with your street address) in a way that enables you to be identified. But, the same items of information are considered Non-Identifying Information when they are taken alone or combined only with other Non-Identifying Information (for example, your age). We may combine your Personal Information with Non-Identifying Information and aggregate it with information collected from other Artvetting users to attempt to provide you with a better experience, to improve the quality and value of the Site and Services and to analyze and understand how our Site and Services are used.
We also use your Personal Information to contact you with Artvetting newsletters, marketing or promotional materials and other information that may be of interest to you. If you decide at any time that you no longer wish to receive such communications from us, please follow the unsubscribe instructions provided in any of the communications or via the [TK] section of the Site. (See “Changing or Deleting Information,” below.)
Log Data
When you visit the Site, our servers automatically record information that your browser sends whenever you visit a website (“Log Data”). This Log Data may include information such as your computer’s Internet Protocol (“IP”) address, browser type or the webpage you were visiting before you came to our Site, pages of our Site that you visit, the time spent on those pages, information you search for on our Site, access times and dates, ads you click on during your use of the Site, your viewing preferences, bookmark habits and other statistics. We use this information to monitor and analyze use of the Site and for the Site’s technical administration, to increase our Site’s functionality and user-friendliness and to better tailor the Site to our visitors’ needs. For example, some of this information is collected so that when you visit the Site again, it will recognize you and serve advertisements and other information appropriate to your interests. We also use this information to verify that visitors to the Site meet the criteria required to process their requests.
Cookies. Web Beacons.
Like many websites, we use “cookies” to gather information “cookies” and “web beacons” (also known as Internet tags, pixel tags, single-pixel GIFs, clear GIFs, invisible GIFs, 1-by-1 GIFs, and web bugs), which are identifiers transferred to your computer through your browser that allow us to recognize your browser and tell us how and when pages in our site are visited, advertisements viewed, by how many people and to engage in other reporting. These identifiers do not contain Personal Information about you. You may be able to change the preferences on your browser to prevent or limit your computer’s acceptance of cookies, web beacons and similar technologies, but this may prevent you from taking advantage of the Site’s features. You can delete cookies at any time or you may be able to set your browser to reject or disable cookies. If you do not accept cookies, however, you may not be able to use all portions of the Site or all functionality of our Services.
Information Sharing and Disclosure
Users – When you register for the Site, your Personal Information (including, but not limited to, your name) will be publicly viewable on the Site. We recommend that you guard your sensitive information and think carefully about what information you post on the Site.
Aggregate Information and Non-Identifying Information – We may share aggregated information that does not include Personal Information and we may otherwise disclose Non-Identifying Information and Log Data with third parties for industry analysis, demographic profiling and other purposes. Any aggregated information shared in these contexts will not contain your Personal Information.
Service Providers – We may employ third party companies and individuals to facilitate our Services, to provide our Services on our behalf, to perform Site-related services (e.g., without limitation, payment processing, maintenance services, database management, web analytics and improvement of the Site’s features) or to assist us in analyzing how our Site and Services are used. These third parties have access to your Personal Information only to perform these tasks on our behalf and are obligated not to disclose or use it for any other purpose.
Compliance with Laws and Law Enforcement – Artvetting cooperates with government and law enforcement officials and private parties to enforce and comply with the law. We will disclose any information about you to government or law enforcement officials or private parties as we, in our sole discretion, believe necessary or appropriate to respond to claims and legal process (including but not limited to subpoenas), to protect the property and rights of Artvetting or a third party, to protect the safety of the public or any person, or to prevent or stop activity we may consider to be, or to pose a risk of being, any illegal, unethical or legally actionable activity.
Business Transfers – Artvetting may sell, transfer or otherwise share some or all of its assets, including your Personal Information, in connection with a merger, acquisition, reorganization or sale of assets or in the event of bankruptcy.
Changing or Deleting Your Information
To amend or delete your Personal Information you provide to Artvetting, you must contact us at [email protected]. If you completely delete all Personal Information, your account may be deactivated. We may retain an archived copy of your records as required by law or for legitimate business purposes.
Security
The security of your personal information is important to us. Your Artvetting account information is protected by a password. Artvetting encrypts sensitive information (such as credit card number) using secure socket layer technology (SSL). Artvetting follows generally accepted industry standards to protect the personal information submitted to us, both during transmission and once Artvetting receives it. No method of transmission over the Internet, or method of electronic storage, is 100% secure. Therefore, while we strive to use commercially acceptable means to protect your personal information, we cannot guarantee its absolute security.

Copyright Infringement. Notice of Alleged Infringement and Take Down Policy.
Artvetting.com Inc. (“Artvetting”) respects the intellectual property rights of others and expects its users to do the same.
Artvetting may disable or terminate the account of any user, at any time, in its sole discretion. Without limiting the foregoing, it is Artvetting’s policy to disable and/or terminate the accounts of users who infringe or are believed to be infringing the copyrights or other intellectual property rights of others.
In accordance with the Digital Millennium Copyright Act of 1998, the text of which may be found on the U.S. Copyright Office website at http://www.copyright.gov/legislation/dmca.pdf, Artvetting will respond expeditiously to claims of copyright infringement committed using the Artvetting website (the “Site”) that are reported to Artvetting’s Designated Copyright Agent, identified below.
If you are a copyright owner, or an agent thereof, please report alleged copyright infringements taking place on or through the Site by following the procedure outlined below and delivering the notice to Artvetting’s Designated Copyright Agent. Upon receipt of the notice as described below, Artvetting will take whatever action, in its sole discretion, it deems appropriate, including removal of the challenged material from the Site.
Procedure for Providing Notice of Copyright Infringement
1. Identify the copyrighted work that you claim has been infringed, or - if multiple copyrighted works are covered by this Notice - you may provide a representative list of the copyrighted works that you claim have been infringed.
2. Identify (i) the material that you claim is infringing (or to be the subject of infringing activity) and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material, including at a minimum, if applicable, the URL of the link shown on the Site where such material may be found, and (ii) the reference or link, to the material or activity that you claim to be infringing, that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate that reference or link, including at a minimum, if applicable, the URL of the link shown on the Site where such reference or link may be found.
3. Provide your mailing address, telephone number, and, if available, email address.
4. Include both of the following statements in the body of the Notice:
“I hereby state that I have a good faith belief that the disputed use of the copyrighted material or reference or link to such material is not authorized by the copyright owner, its agent, or the law (e.g., as a fair use).”
“I hereby state that the information in this Notice is accurate and, under penalty of perjury, that I am the owner, or authorized to act on behalf of the owner, of the copyright or of an exclusive right under the copyright that is allegedly infringed.”
5. Provide your full legal name and your electronic or physical signature.
